1. Agreement to Terms
By accessing or using the services provided by bitlify Agency ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, you may not access our services or website.
2. Engineering & Agency Services
bitlify provides digital engineering, cloud architecture, and design services. The specific scope, deliverables, timelines, and fees for any project will be outlined in a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties prior to the commencement of work.
3. Intellectual Property
Unless otherwise agreed upon in writing:
- Background IP: We retain all rights to our pre-existing tools, libraries, and frameworks (e.g., our headless CMS accelerators).
- Client Deliverables: Upon full payment of all undisputed fees, you are granted a non-exclusive, worldwide, royalty-free license to use the final deliverables for your business operations.
4. Client Responsibilities
You agree to provide timely access to necessary technical environments, API keys, and business requirements required for us to perform our services. Delays in client feedback or access may result in corresponding delays to project timelines.
5. Limitation of Liability
In no event shall bitlify Agency, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of our services.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of your jurisdiction, without regard to its conflict of law provisions.
